Terms of Service

1. Agreement to Terms

Welcome to Orbello ("Orbello," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Orbello mobile application and web service (collectively, the "Service").

Important: By creating an account or using Orbello, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("you," "your," or "User") and Orbello. Please read them carefully.

2. Eligibility

To use Orbello, you must:

  • Be at least 13 years of age (or 16 years of age if you are in the European Economic Area)
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable laws
  • Comply with all local laws regarding online conduct and acceptable content

If you are under 18 years of age, you must have your parent or legal guardian's permission to use the Service.

3. Account Registration and Security

3.1 Account Creation

To use certain features of Orbello, you must create an account by providing:

  • A valid email address
  • Your full name
  • A secure password

You may also sign up using Google Sign-In or Apple Sign-In.

3.2 Account Responsibility

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring your account information is accurate and up to date

3.3 Account Security

We recommend you:

  • Use a strong, unique password
  • Enable biometric authentication (Face ID, Touch ID, or Fingerprint) if available
  • Never share your account credentials with others

You agree to notify us immediately if you suspect any unauthorized use of your account by emailing hello@orbello.app.

4. Acceptable Use Policy

4.1 Permitted Uses

You may use Orbello to:

  • Create, manage, and share personal calendar events
  • Connect with other users for social coordination
  • Share your availability with selected connections
  • Import events from external calendars such as Google Calendar and Apple Calendar.
  • Receive in-app, push, email, and where enabled SMS notifications about events and connection activities

4.2 SMS Notifications

If you opt in to SMS notifications in Settings → Notifications → SMS, you consent to receive recurring text messages from Orbello at the phone number you provide and verify, including event reminders, booking alerts, and signal updates.

Message frequency varies. Msg & data rates may apply. Reply STOP to cancel at any time. Reply HELP for assistance. Consent to SMS is not a condition of any purchase. SMS messages are delivered via Twilio Inc. You may also disable SMS at any time in Settings → Notifications → SMS. For questions about SMS, contact hello@orbello.app.

4.3 Prohibited Activities

You agree NOT to:

  • Violate Laws: Use the Service for any illegal purpose or in violation of any local, state, national, or international law
  • Harass Others: Harass, abuse, threaten, or intimidate any other user
  • Spam: Send unsolicited invitations, messages, or connection requests to users
  • Impersonate: Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
  • Collect Data: Collect or harvest any personally identifiable information from other users without their consent
  • Reverse Engineer: Reverse engineer, decompile, or disassemble any part of the Service
  • Interfere: Interfere with or disrupt the Service or servers or networks connected to the Service
  • Automate: Use any robot, spider, scraper, or other automated means to access the Service
  • Circumvent Security: Attempt to bypass any security measures or access restricted areas
  • Upload Harmful Content: Upload viruses, malware, or any code of a destructive nature
  • Infringe Rights: Violate any intellectual property rights, privacy rights, or other rights of any party

5. User Content

5.1 Your Content

"User Content" means any content you create, upload, or share through the Service, including:

  • Calendar events (titles, descriptions, locations, dates)
  • Availability signals and messages
  • Profile information and photos
  • Availability signals, booking requests, messages, or other communications
  • Support messages, screenshots, and attachments you choose to submit

5.2 Ownership

You retain all ownership rights to your User Content. You do not transfer ownership of your content to Orbello.

5.3 License to Us

By uploading User Content to the Service, you grant Orbello a worldwide, non-exclusive, royalty-free, transferable license to:

  • Use, store, display, and transmit your User Content solely for the purpose of operating and providing the Service
  • Make backup copies for disaster recovery and security purposes
  • Process your content to enable features like event reminders and notifications

This license ends when you delete your User Content or your account, except for content already shared with other users, operational copies needed to run the Service, and de-identified support-message or operational records retained as described in our Privacy Policy. Support screenshot and attachment objects are hard-deleted during account deletion.

5.4 Your Responsibilities

You represent and warrant that:

  • You own or have the necessary rights to your User Content
  • Your User Content does not violate any laws or infringe any rights of third parties
  • Your User Content does not contain defamatory, obscene, or offensive material

5.5 Content Monitoring

We do not routinely monitor User Content, but we reserve the right to review content and remove or disable access to content that violates these Terms or applicable laws.

5.6 Zero Tolerance for Objectionable Content and Abusive Behavior

There is zero tolerance for objectionable content or abusive users. You may not post, share, or transmit content that is harassing, hateful, threatening, sexually explicit, discriminatory, defamatory, or otherwise objectionable, and you may not abuse, harass, or harm other users.

Reporting: Users can report objectionable content or abusive behavior from within the app where reporting controls are available, or by contacting legal@orbello.app. Users can also block abusive users where blocking controls are available.

Our action: We review reports of objectionable content and aim to act within 24 hours. We may remove or disable the reported content and may suspend, disable, or permanently ban users who violate this policy, at our discretion and without prior notice.

6. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is described in our Privacy Policy.

By using the Service, you acknowledge that you have read and understood the Privacy Policy and consent to our collection, use, and sharing of your information as described.

Key highlights:

  • We use Google Firebase services as core backend infrastructure
  • We also use providers such as Datadog, Twilio, Resend, and connected calendar providers to operate specific features
  • We do not describe our practices as a sale of personal information
  • You can request account deletion at any time, subject to the current deletion workflow and the retention limits described in our Privacy Policy

7. Service Availability and Modifications

7.1 Service "As Is"

Important: Orbello is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties or guarantees about the availability, reliability, or accuracy of the Service.

7.2 No Uptime Guarantee

We do not guarantee that the Service will be:

  • Available at all times or without interruption
  • Error-free or free from bugs or defects
  • Compatible with all devices or platforms
  • Accurate in all calendar calculations, time zones, or event reminders

7.3 Scheduled Maintenance

We may perform scheduled maintenance that temporarily makes the Service unavailable. We will attempt to provide advance notice when possible.

7.4 Service Changes

We reserve the right to:

  • Modify, suspend, or discontinue any part of the Service at any time
  • Change features, functionality, or appearance
  • Impose limits on certain features or restrict access to parts of the Service

We will provide reasonable notice of material changes when practicable.

7.5 Your Data Backup Responsibility

You are solely responsible for maintaining backup copies of your calendar events and data. We are not liable for any loss of data due to service interruptions, errors, or your account deletion.

7.6 Beta / Pre-Release Service, Usage Limits, and Fair Use

Orbello is currently offered as a beta / pre-release service. Features may be added, changed, limited, or removed as the Service evolves, and current functionality is not guaranteed to remain available.

During the beta period, some features — including, for example, availability signals, viewing mutual free/busy time across your connections, planning or coordination features, and other capabilities we may later designate as premium — may be offered free of charge and/or without usage limits.

This free or unlimited access is provided on a temporary, promotional basis. It is not a permanent entitlement, and you should not rely on it continuing after the beta period ends.

To keep Orbello sustainable and to continue offering a usable free tier, we may at any time introduce or adjust usage limits, rate limits, quotas, daily or monthly caps, or feature gates, and we may move some features into one or more paid plans. Where a change materially reduces a feature you actively use, we will provide reasonable advance notice when practicable, consistent with Sections 7.4 and 17.

Fair use: We may apply rate limiting, throttling, or temporary restrictions to protect the stability, security, and affordability of the Service and to prevent abuse, including limiting the number of connections, signals, planning or coordination features, invitations, searches, or backend requests permitted per account over a given period.

Advertising: Orbello does not currently display third-party advertising, and our goal is to fund the Service through optional paid plans rather than ads. This describes our current practice and intent and is not a binding commitment; if we introduce advertising or other monetization in the future, we will update these Terms and provide notice as required.

8. Intellectual Property Rights

8.1 Our Rights

The Service, including its design, code, features, graphics, logos, and documentation, is owned by Orbello and protected by copyright, trademark, and other intellectual property laws.

You may not:

  • Copy, modify, or create derivative works of the Service
  • Use our trademarks, logos, or branding without written permission
  • Remove or alter any copyright, trademark, or proprietary notices

8.2 Trademarks

"Orbello," the Orbello logo, and related marks are trademarks of Orbello. All other trademarks mentioned in the Service are the property of their respective owners.

8.3 Copyright Infringement

If you believe any content in the Service infringes your copyright, please contact us at hello@orbello.app with:

  • A description of the copyrighted work you claim has been infringed
  • The location of the infringing content within the Service
  • Your contact information
  • A statement that you have a good faith belief the use is not authorized
  • A statement that the information is accurate and you are authorized to act on behalf of the copyright owner

9. Third-Party Integrations

Orbello may integrate with third-party services, including:

  • Google Sign-In and Google Calendar
  • Apple Sign-In and Apple Calendar
  • Google Firebase services
  • Datadog, Twilio, and Resend operational services

Your use of these third-party services is governed by their respective terms of service and privacy policies. We are not responsible for:

  • The availability, accuracy, or content of third-party services
  • Third-party service interruptions or changes
  • Third-party data practices

You acknowledge that integrating with external calendars may result in provider calendar data being copied into our systems for sync and app functionality, and that some sync paths may also write data back to the provider you connected. See Section 7.5 for your data backup responsibilities.

10. Subscriptions and Billing

Orbello does not currently offer paid subscriptions or in-app purchases. The Service is free to use, and there is no auto-renewing subscription, free trial, or family plan at this time.

If paid plans are introduced in the future, the applicable terms (including pricing, the auto-renewal disclosure, free-trial conversion, cancellation, and any family-plan terms) will be presented for your review and affirmative consent at the point of purchase, and these Terms will be updated accordingly. Any future subscription would be billed and managed through the Apple App Store or Google Play Store, and could be cancelled through your device's subscription-management settings.

11. Limitation of Liability

Important - Please Read Carefully: This section limits our liability to you. If you do not agree, do not use the Service.

11.1 No Liability for Missed Events

Orbello is a tool to help you manage your schedule, but we are NOT responsible for:

  • Missed appointments, events, or deadlines
  • Failed or delayed notifications
  • Incorrect time zone calculations
  • Calendar sync errors with external calendars
  • Data loss due to service interruptions or errors

11.2 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBELLO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or availability of the Service

11.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBELLO SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Personal injury or property damage resulting from your use of the Service
  • Any damages resulting from service interruptions, errors, or data loss

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE PAST TWELVE (12) MONTHS, OR $100 USD, WHICHEVER IS GREATER.

11.4 Jurisdictions That Do Not Allow Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Orbello, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to:

  • Your violation of these Terms
  • Your User Content
  • Your use or misuse of the Service
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations

13. Account Termination

13.1 Termination by You

You may delete your account at any time by:

  • Going to Settings → Account → Delete Account in the App
  • Emailing us at hello@orbello.app with your account deletion request

The current in-app deletion workflow requires recent authentication and runs the server-owned deletion workflow before showing success. Once we receive a valid deletion request, we delete or de-identify remaining personal account data within 30 days, subject to legal exceptions and the support-material retention described in the Privacy Policy.

13.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms
  • You engage in fraudulent, illegal, or harmful activities
  • Your account has been inactive for an extended period
  • We are required to do so by law
  • We decide to discontinue the Service

13.3 Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases
  • We will delete or de-identify your account data within 30 days after a valid deletion request, except for records we must keep by law and de-identified support-message or operational records retained under the Privacy Policy; support screenshot and attachment objects are hard-deleted
  • Sections that by their nature should survive termination will continue to apply (including liability limitations, indemnification, and dispute resolution)

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions.

14.2 Informal Resolution

If you have a dispute with Orbello, you agree to first contact us at legal@orbello.app to attempt to resolve the dispute informally before filing any formal claim. We will endeavor to resolve disputes within 30 days.

14.3 Binding Arbitration (Non-EEA/UK Users)

PLEASE READ CAREFULLY. THIS AFFECTS YOUR LEGAL RIGHTS.

Except for claims for injunctive or equitable relief or claims regarding intellectual property rights, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in Redmond, Washington, or by videoconference. Judgment on the arbitration award may be entered in any court with jurisdiction.

YOU AND ORBELLO EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. If this class action waiver is found unenforceable, the arbitration agreement will not apply to that claim.

Nothing in these Terms limits any non-waivable consumer protection rights you may have under the laws of your state or country of residence.

14.4 Arbitration Opt-Out

You may opt out of the arbitration agreement in Section 14.3 within 30 days of first accepting these Terms by emailing legal@orbello.app with "Arbitration Opt-Out" in the subject line. Opting out will not affect any other provision of these Terms.

14.5 EEA / UK Users

Users located in the European Economic Area or the United Kingdom are not subject to Section 14.3 and may bring claims before the courts of their country of residence. EEA users may also use the EU Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr.

14.6 Jurisdiction (Claims Not Subject to Arbitration)

For any claim not subject to arbitration under Section 14.3, you agree that the legal action or proceeding shall be brought exclusively in the federal or state courts located in King County, Washington, and you consent to the personal jurisdiction of such courts.

14.7 Time Limit for Claims

To the maximum extent permitted by applicable law, any claim you may have arising out of or related to your use of the Service must be filed within one (1) year after such claim arose. Nothing in this section limits any non-waivable statutory rights you may have under the laws of your jurisdiction.

15. App Store — Additional Terms (iOS)

15.1 iOS Users

If you downloaded Orbello from the Apple App Store, you acknowledge that these Terms are between you and Orbello only, not Apple. Apple has no obligation to provide maintenance or support for the Service.

15.2 Apple as Third-Party Beneficiary

You acknowledge that Apple Inc. and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

15.3 No Other Third-Party Beneficiaries

Except as expressly provided in Section 15.2, these Terms do not create any third-party beneficiary rights and do not confer rights on any other third party.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Orbello regarding the Service and supersede all prior agreements.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of war, terrorism, labor disputes, or Internet failures.

17. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Notify you through the App or via email for material changes
  • Provide you with the opportunity to review the updated Terms

Material changes will take effect 30 days after we notify you. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and delete your account.
